There are seven original shareholders, Mark J.Beirl; David Su; Christian Beckers; Joanna Pydo; Walter Khun; our team is from different backgrounds, ages, gender, race, citizens, and demographic [that will empower our team the ability and imperative to improve diversity, equity, and inclusion (DE&I) in the workplace; and perform better than the industry average on margin growth.

Mark J. Beirl

Co-founder | Non-Independent

Executive Chairman

Mr. Mark J. Beirl is the co-founder and Executive Chairman of the Board of Capiya & Associates. He is a senior executive with an established track record spanning over 30 years of successfully originating, negotiating, structuring, executing and exiting a broad range of investment and advisory transactions, as well as managing the people, programs, processes and organizational operations.

During his career, Mr. Beirl has established and led private equity funds, structured and executed over $3 billion of equity investments as a private equity fund principal; as well as originated and executed $15 billion of investment banking advisory transactions (M&A, private placement and restructuring mandates) on behalf of an international client base operating across a diverse array of industries. Mr. Beirl’s experience includes:

Founder and Chief Executive Officer - Saker Capital. Founded in 2006, Saker Capital is a specialty real estate investment and advisory firm which makes direct investments in USA and European commercial real estate in partnership with institutional co-investment partners. Saker Capital focuses on opportunities which provide attractive current yields and capital appreciation supported by long term fundamentals, concentrating primarily on single tenant office, student housing and industrial property types that demonstrate inelastic demand characteristics. In addition, Saker Capital connects institutional investors with proven, high caliber USA and European niche owners/operators to acquire proprietary commercial real estate assets outside of the firm’s investment criteria.

Principal, Analyst - Westford Global Asset Management. Originated, executed and managed through exit, distressed debt control (“fulcrum security”) private investments focused on SME companies throughout North America. Post-acquisition, the fulcrum security was converted into controlling stakes in the companies post-restructuring after which the companies’ operations and balance sheets were optimized and typically sold to strategic buyers.

• In addition, Mr. Beirl previously held senior positions within the Investment Banking and restructuring group of Houlihan Lokey and the corporate development group of Bank of America.

Mr. Beirl currently serves as Chairman of JFDI Trading GmbH (Switzerland); is a member of the Boards of Directors of Pandemic Distribution Ltd. (UK), a Strategic Advisor and Investor to VertiCroft (UAE); and previously served as Advisor to the Board of Kosan Crisplant Holdings (Denmark).

Mr. Beirl received his EMBA in Real Estate from the Said Business School at the University of Oxford, an MBA in International Finance from the University of Southern California, and a BSc in Economics from the University of Wisconsin. Mr Beirl speaks English, Spanish, Italian and German.

Joanna Pydoa

Non-Executive Director

Ms. Joanna Pydo is a co-founder and Non-Executive member of the Board of Director at CAPIYA. Joanna responsible for the group investor relations and environmental, social and governance (“ESG”) to to create value for stakeholders through her deep knowledge of capital markets and global experience. She manages long-term investor relations with institutional investors, analysts, and investment banking. Her extensive experience in building and execution of strategy, ESG, and reputation management brings to the Company a different level of development for responsible investing and a positive impact on Myanmar. Joanna also advises implementing the best practices of the ESG policies, guidelines, and ESG management systems relevant to regional and international standards.

Joanna has 15 years of experience in capital markets in the field of international investor relations and finance for the energy, wood industry, mineral and mining, healthcare, TMT, and real-estate sectors. She has substantial experience in working with institutional

investors in Europe, the US, and the Middle East. Joanna was the driving force behind the creation of IR Department and capital markets communication during the IPO and post-IPO of ENERGA S.A (the 3rd biggest energy company in Poland, with EUR 2.5bn revenues).

She served as the Head of Investor Relations for the Pfleiderer Group a leading wood panel manufacturer in Europe (17 entities, including 9 factories in Germany and Poland, with EUR 1.2bn revenues) and for the Silvair Inc. with HQ in San Francisco (provider of a wireless lighting control solution based on the globally interoperable Bluetooth mesh standard). In the years 2017- 2019, she has also served as a Member of the Supervisory Board at the Infoscan SA, telemedicine equipment manufacturer for diagnostic examination of sleep apnea with a strong presence in Southeast Asia. She has engaged in the numerous IPO, SPO, M&A, debt issuance, and refinancing transactions. She advises companies on the Environmental, Social and Governance related issues, integrated/ non-financial

reporting, and strategic communications.

Joanna is an expert at the Social Impact Alliance for CEE and she is a Mentor to startups at the MIT Enterprise Forum CEE. Joanna holds a MSc Degree in Finance and MA Degree in Global Political Economy. Joanna speaks Polish, English and German. She is a member of

the Women in Finance Club, organized by the Warsaw Stock Exchange, the Chamber of Fund and Asset Management, and CFA Society Poland.

Walter Khun

Founder, Principal , BD Industry Expert | Member of Executive Board of Director

Walter Khun is a Myanmar national and the founding partner, principal, member of the executive board of director and business development director of Capiya & Associates group. He leads new investment transactions, which include finding potential companies and raising capital from investors that fit the group target category.

Prior to Walter establishing Capiya & Associated, he eventually worked with several multinational and international businesses as management roles across diverse sectors such as energy, power generation & distributions, industries, infrastructure (commercial & city development), telecommunications towercos, aviation, FMCG, education, and tourism industries. During the 19 years of his career, Walter has developed a good reputation and working relationships in business spaces with key people include not only local and international senior executives, business owners, and related government department officials.

Walter holds a diploma in TESOL from the London Teacher Training College and TMIS-ITE College Singapore’s Certificates in Travel Services. He is a B. A (Law) degree candidate from the University of Taunggyi.

Walter also serves as an independent growth advisor on the boards of local start-ups (SMEs) for fast- food chains, boutique hotels, agriculture, and education in Yangon, Mandalay, and Shan State. Walter is a minority Myanmar citizen from Pa-Oh ethnics, speaks Pa-Oh, Burmese and English.

Christian Beckers

Independent Partner and Industry Advisor for Myanmar, Thailand, Cambodia, Vietnam and Lao

Mr. Christian Beckers is a strategic advisor for Industrial Technology-related deals and partner opportunities for CAPIYA growth.

Mr. Beckers has been the Head of Business Development of the Digital Factory and Process Industries and Drives (DF & PD) Divisions in Siemens Myanmar, Cambodia & Laos until 30 September 2019. He was responsible for creating market awareness of Siemens and growing the business in Myanmar, Cambodia, Laos, and the region through his years of experience as well as technical expertise in the industry.

Mr. Beckers has been with Siemens for over 23 years and started his ASEAN career in Vietnam as a General Manager of Flender in 1999, responsible for Vietnam, Laos, Cambodia, and Thailand. Through his years of experience in emerging markets Thailand, Vietnam, Cambodia, Laos, and Myanmar, he has played an important role in building successful implementations of automation and digitization frameworks as well as strategies for customers in various industries. Additionally, with his experience in education, he is an advocate of educating the local market in developing concepts for the next generation of engineers. In 2020 Mr. Beckers is the founder of CB consultancy & services. Mr. Beckers is fluent in English and German.

David Su

Chief Operation Officer

Mr. David Su is the co-founder and Chief Operating Officer of Capiya & Associates. He is also a member of the executive board. David is in charge of growth and development for the firm, from investment screening, analysis, portfolio operations, idea generation, product & service analysis, managing team & industry analysis, consumer sentiment gauging, and due diligence. He leads investment due-diligence efforts and oversees portfolio matters, including IT, legal, human resources, and supply chain.

David’s mission at CAPIYA is to work with entrepreneurs to build and grow strong companies. David has two decades of experience in in strategy, finance, and investing across both the US and Asia. He began his career at Deloitte Consulting formulating corporate strategies and identifying operational efficiencies for large companies. David's work career has spanned from start-ups to Fortune 500 sized corporations. His industry background includes: online media/entertainment, technology hardware, manufacturing, and FinTech. David’s mission at CAPIYA is to work with entrepreneurs to build and grow strong companies.

• Most recently David was a Senior Corporate Strategy Manager at AAC Technologies, where he was responsible providing corporate level guidance to senior management, overseeing new growth efforts including: M&A sourcing, due diligence, negotiations, industry /sector evaluation, and internal company presentations. He led special projects in overseas expansion and managed third-party relationships.

• Prior to AAC Technologies, David was Vice President, BD & Strategic Growth at DATETIX where he led activities in corporate strategy and planning, fundraising efforts and the public listing process on the ASX. He was responsible for identifying opportunities, analyzing strategic implications, managing deal cycle and oversaw M&A transactions.

• Prior to DATETIX, David was Private Equity Consultant at KNIGHTS GROUP, an Asia-Pacific focused family fund in New York. At Knights Group, he worked in screening, background research, and preliminary due diligence on potential new investments.

• His work as a Business Analyst for DELOITTE prior to join Knights Group involved significant strategic and operational project work in Technology, Media, Healtcare, and Financial Service industries. Experiences include: strategic advisory, buy-side and sellside M&A, private equity transaction due diligence, business process re-design, IT systems roll-out planning and execution, and Sarbanes-Oxley compliance.

• He started his career as an Analyst at Esurance.com responsible for developing and managing ongoing monthly reports analyzing company performance to plan. He reported to company senior management in the areas of marketing, finance, IT systems, and operations.

David speaks English and Chinese. He is a U.S. citizen, speaks English and Chinese. He earned his BBA from the University of Michigan (Ross school) and MBA from the University of Pennsylvania (Wharton).

Dr. Kunal Thakrar

Healthcare Services Industry Expert | Advisor

Dr Kunal Thakrar is a non-executive strategic industry expert for Capiya’s healthcare industry sector, to identify trends and opportunities through data, analytics and experience. Kunal's advice covers collaborating with healthcare institutions to reduce liability exposure and improve patient safety and quality of care. Dr.Kunal will help to ensure that our firm have appropriate levels of coverage—as well as access to best-in-class risk prevention services and resources—which we can focus our time and effort on the communities our portfolios serve.

Dr.Kunal specialist as an Emergency Doctor, born in Houston, Texas, USA. He graduated with distinction from Indiana University with Bachelors Degree in Biochemistry, graduated from Texas A&M Health Science Center College of Medicine with Doctorate in Medicine (M.D.), Emergency Medicine Residency at University of North Carolina, Chapel Hill and Practicing Emergency Medicine Physician in United States. He currently also serving as an Assistant Professor of Emergency Medicine in the United States. Kunal is a U.S Citizen, speaks English, Hindi and Chinese. He also practices martial arts Kung Fu and MMA in his spare time.

Roger H. Parry

Energy Sector Industry Expert | Advisor

Mr. Roger H. Parry is an Oil & Gas Drilling expert with 35+ years of Offshore and Onshore experience. As an Independent industry expert for oil & energy sector, Roger advise Capiya’s team review, identify, analyze and negotiate the potential opportunities for exponential growths.

Mr Parry has not only down-to-earth operation experiences but also an extensive oil industry knowledge of offshore/onshore petroleum exploration campaigns in a wide variety of projects, disciplines in remote locations resulting a strong foundation in operational drilling work-over and completions including contracting, contract negotiations, well design, program lay out and generation onshore well pad design and construction supervision with strong all-round HSE commitment.

Mr. Parry started his career in Australia in 1981 working for a drilling contractor. Since 1985 Roger start to work in Oil and Gas as driller,

Rig Manager, Field Supt, Operation Supt, Drilling supervisor at international major energy companies at multi-geographic with diverse geographic, culture such as:

  • OD&E (Australia, Libya) and

  • Keydril (Australia)

  • Nabors Drilling (Pakistan, Saudi Arabia, Southern Algeria)

  • Apexindo Drilling (Indonesia)

  • Aramco (Saudi Arabia)

  • PETRONAS (Sudan, Pakistan, Ethiopia, Myanmar)

  • Sasol Petroleum (Mozambique),

  • Chevron (Bangladesh)

for Offshore and Onshore drilling campaigns with zero HSE incident under his management.

Mr Parry is an active donor to various charities including: Little Sisters of the Poor aged peoples home, Orphanage for the lost children in Yangon, Fire and Recue in South West division, Western Australia.

He also provides donation a blanket/Save a life campaign in Saint Vincent Charities. Roger is an Australian citizen, married with 25-year-old daughter, love to Golf, Fishing, Scuba Diving, Travelling & Family.

Jorge Alberto Nieto Jiménez

Education, Media & CSR Industry Expert | Advisor

Jorge advises CAPIYA Group for education, media and ESG impact matter within group business life-cycle. He is a former advisor in the office of the General Director at the Mexican National Council for Science and Technology. Jorge has experience reporting trends and opportunities for impact investment in higher education, scientific research, and technological development to a range of audiences, including policymakers, industry leaders, and the public. During his time at the Mexican government,

Jorge also kept track of innovative media and communications technologies and services, as well as the emerging demands of the public sector and large companies in these sectors. Mexican by birth, Jorge has a Bachelor in Internal Relations from El Colegio de México and a Master of Environmental Science from Yale University. He has participated in research projects in both academic institutions and conducted independent projects on the formulation of labor standards in the maritime shipping industry and the adoption of clean energy technologies in the United States and Myanmar.

Jorge's passion is to understand how policy and investment can transform education and technology to serve better the needs of people in different parts of the world, and take that knowledge to design courses of action towards more effective solutions.

James Myo

Director of Reliability, Integrity Engineering Expert

Mr. James Myo advises CAPIYA’s Engineering (mechatronics, mechanical, electrical and plumbing) for the most part the firm’s engineering and technology related operations. James advises and ensure the reliability and integrity of engineering matter in CAPIYA’s investment portfolios.

James's experience includes operation and consulting on mechanical & electrical engineering including in power generation, transmission & distribution, HVAC, plumbing and sanitary, fire system in commercial, residential, industrial infrastructures. James holds a BSc Chemistry from the Yadanarbon University and Diploma in Electrical Power from the AGTI College. James speaks Burmese and English.
